1. Scope of Services
WAR Group Recovery LLC (the "Agency") agrees to provide commercial debt collection services on behalf of the Client including: demand letter preparation and dispatch, direct debtor contact by licensed collectors, skip-tracing to locate debtors or assets, mechanic's lien filing assistance, payment negotiation and settlement, legal referrals to licensed attorneys where appropriate, and regular status reporting on all active claims.
2. Fees & Compensation (Contingency Basis)
No upfront cost is charged to the Client. The Agency is compensated on a contingency basis, calculated on the age of the debt at the time of assignment: 0–90 days = 15% of collected amount; 91–180 days = 25%; 181–365 days = 30%; over 365 days = 35%. Contingency fees apply only to funds actually collected and remitted to the Client.
3. Client Responsibilities
The Client agrees to: provide accurate supporting documentation (invoices, contracts, delivery tickets) for each claim; notify the Agency promptly of any direct payments received from the debtor; refrain from contacting the debtor once a claim has been assigned; and warrant that all debts submitted for collection are valid, owing, and not subject to bona fide dispute at the time of assignment.
4. Mechanic's Lien Authorization
Lien consultation is provided at no charge. Where mechanic's lien filing is recommended and authorized by the Client, filing fees and statutory costs may apply and shall be the Client's responsibility. In New York, the statutory deadline for filing a mechanic's lien is 4 months from the last date of work performed. The Agency will advise the Client of applicable deadlines but cannot guarantee lien rights once a deadline has passed.
5. Legal Disclaimer
WAR Group Recovery LLC is a licensed debt collection agency, not a law firm, and does not provide legal advice or legal representation. Any litigation, lien enforcement, or court proceeding shall be referred to a licensed attorney. The Agency may recommend counsel but is not responsible for the conduct or outcomes of independent legal representation.
6. Compliance
The Agency conducts all collection activity in compliance with the Fair Debt Collection Practices Act (FDCPA), the Telephone Consumer Protection Act (TCPA), and all applicable New York State and New York City laws, rules, and regulations governing debt collection, including the licensing requirements of the NYC Department of Consumer and Worker Protection (DCWP).
7. Term & Termination
This Agreement is effective upon submission and remains in effect until terminated by either party with 30 days' written notice. Upon termination, the Agency's contingency fee rights shall survive for 12 months on any claim that was active at the time of termination, covering any payments received directly by the Client from the debtor during that period.
8. Dispute Resolution
Any dispute arising under this Agreement shall first be submitted to good-faith mediation. If mediation does not resolve the dispute within 60 days, the matter shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), administered in New York, New York. Judgment on the award may be entered in any court of competent jurisdiction.
9. Entire Agreement
This Collections Client Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous understandings. Any modification or amendment must be in writing and signed by both parties.
